Anand G. Mahindra
Chairman - Mahindra Lifespace Developers Ltd.

Mr. Anand G. Mahindra, Vice Chairman and Managing Director of Mahindra & Mahindra Ltd., graduated from Harvard College, Cambridge, Massachusetts, Magna cum Laude (High Honours).  In 1981 he secured an MBA degree from the Harvard Business School, Boston, Massachusetts.  He returned to India that year and joined Mahindra Ugine Steel Company Ltd (MUSCO), the country’s foremost producer of speciality steels, as Executive Assistant to the Finance Director.  In 1989 he was appointed President and Deputy Managing Director of the

company. During his stint at MUSCO, he initiated the Mahindra Group’s diversification into the new business areas of real estate development and hospitality management.

In the summer of 1991, he was appointed Deputy Managing Director of Mahindra & Mahindra Ltd., the country’s dominant producer of off-road vehicles and agricultural tractors.

He has since been engaged in a comprehensive change programme in Mahindra & Mahindra Ltd. to make the company an efficient and aggressive competitor in the new liberalised economic environment in India.

In April 1997, he was appointed Managing Director of Mahindra & Mahindra Ltd and in January 2003 given the additional responsibility of Vice Chairman.

Mr. Mahindra was a co-promoter of Kotak Mahindra Finance Ltd., which in 2003 was converted into a bank.  Kotak Mahindra Bank is one of the foremost private sector banks today.

Mr. Mahindra frequently shares his views and ideas on Indian economy and business through his writings in some of India’s leading business magazines.
Mr. Mahindra is the recipient of the following awards:

1. ‘Knight of the Order of Merit’ by the President of the French Republic.
2. Rajiv Gandhi Award 2004 for outstanding contribution in the business field.
3. 2005 Leadership Award from the American India Foundation for his, and the Mahindra Group’s commitment to corporate social responsibility.
4. Person of the Year 2005 from Auto Monitor
5. CEO of the Year from India Brand Summit 2006
6. CNBC Asia Business Leader Award for the year 2006
OTHER ACTIVITIES

Mr. Mahindra is the co-founder of the Harvard Business School Association of India, an association dedicated to the promotion of professional management in India.  The association has grown substantially over the years.

He is Past President 2003-04 of the Confederation of Indian Industry and has also been President of the Automotive Research Association of India (ARAI).

Mr. Mahindra is a Director of The National Stock Exchange of India Limited appointed under the “Public Representatives” category.

He takes a keen interest in matters related to education and apart from being a Trustee of the K.C. Mahindra Education Trust, which provides scholarships to students, he is also on the Board of Governors of the Mahindra United World College of India.

Mr. Mahindra is the Founder Chairman of the Mumbai Festival, which was launched in January 2005.  The event was the first comprehensive festival to celebrate the rich cultural diversity of the city.

He is the Co-Chairman of the International Council of the Asia Society, New York.

Arun K. Nanda
Vice Chairman

A graduate in Law (Calcutta University) and a Fellow of the Institute of Chartered Accountants of India (FCA) and the Institute of Company Secretaries of India (FCS), Mr. Arun Nanda joined Machinery Manufacturers Corporation Ltd. in the year 1973 as a management accountant. Three years later, he moved on to Mahindra Sintered Products Ltd., Pune, as the Chief Accountant and Company Secretary. In the year 1986, he joined the parent company and was appointed as M&M Group’s Executive Director shortly. In 1994, he was

promoted as the President of the Group’s Infrastructure & Development Sector.

Today, Mr. Nanda shoulders multiple responsibilities at corporate level – including secretarial, corporate governance, investments and corporate communications. A board member of several Mahindra & non-Mahindra companies, he is responsible for strategic planning and identifying new business opportunities. He is Executive Director of Mahindra & Mahindra Limited and President, Infrastructure & Development Sector. .

A dynamic personality, Mr. Nanda has spoken at various international conferences and has even led various task forces and missions of associations like CII and Bombay Chamber of Commerce & Industry. He is the President of the Indo-French Chamber of Commerce. A member of the governing council of the EU Chambers of Commerce in India and the governing board of Indo-American Society, he has also been a part of high-powered committee set up by the Government of Maharashtra to do an in-depth study of issues related to employment generation.


Uday Phadke
President - Finance, Legal and Financial Services Sector

Mr. Uday Phadke joined the Company in 1973. He is a member of the Institute of Chartered Accountants of India and the Institute of Company Secretaries of India and has a Bachelor's degree in Commerce and Law. He has attended the General Management Course for Senior Executives conducted by the Administrative Staff of College of India (ASCI) and a course for Senior Executives organized by the International Institute for Management Development (IMD) in Lausanne , Switzerland .

Mr. Phadke has held positions of the `Treasurer' and the `Controller of Accounts' before becoming Financial Controller in August 1997. Executive Vice President in May 2001 and President in 2005. He is a member of the Management Board (Reconstituted as “Group Management Board” in October 2005) since April 1999.

Mr. Phadke heads Finance, Accounts, Investor Relations and Legal Affairs functions of the Company. He is a Member and Convenor of the Corporate Governance Cell (CGC) and Coordinator of the Corporate Transformation Programme Office (CTPO). He is a Trustee of the Mahindra & Mahindra Limited – Staff Provident Fund Scheme, Superannuation Scheme, Staff & Workmen's Superannuation Scheme and Gratuity Scheme. He is on the Board of various Group companies such as Mahindra & Mahindra Financial Services Limited, Mahindra Holidays & Resorts India Limited, Mahindra GESCO Developers Limited, M&M South Africa (Pty) Ltd. and Mahindra Renault Private Limited. He is also on the Audit Committee of most of these Companies.

Mr. Phadke has been Chairman of the Direct Taxes Committee of the Bombay Chamber of Commerce and Industry. Currently, he is on the Accounting Standards of Board of the Institute of Chartered Accountants of India and is also a Member on the `National Committee on Professional Services' and `Committee on Taxation & Company Law' of CII. He is a Member of the Working Group on “Employee Benefits” constituted by the International Accounting Standards Board.


Hemant Luthra
Director

Mr. Hemant Luthra is a member of the Management Board of Mahindra & Mahindra Limited and as President of Systech has grown the Engineering Services, Strategic Sourcing and Automotive Components business units to US$800 mm, with Mahindra Forging, Mahindra Casting & Mahindra Engineering as the primary drivers of this growth.  He joined M&M as Executive Vice President – Corporate Strategy in December 2001 and was involved in a number of Strategic initiatives across different sectors and group companies.He serves on several Boards and is the

Chairman of some [including the Supervisory Boards of M&M’s German subsidiaries].

Hemant has 35 years of varied and rich work experience in Operations, Finance, Business Development and Private Equity, which is of special interest to M&M today as it seeks to consolidate its leadership in different verticals on the back of its strong financial performance.

He started his career with IBM India and IBM Singapore where he was directly responsible for a substantial part of the company’s business.  After IBM Hemant  spent 18 years with the Thapar Group, a $1 Billion conglomerate with interest in Paper, Chemicals & Engineering.  As Group CFO and then as COO of the Group’s flagship company BILT, he served on the Board of several joint ventures of the Group with Dupont, Mitsubishi, OKI and Maersk. 
Following his entrepreneurial instinct Hemant then founded a Private Equity fund for the ING Group and served as its first CEO.  He later joined the Essar Group as CEO of their Telecom business and helped engineer a lucrative merger of the business with Hutchison.  He then worked with Enron India as CEO of their Broad Band business.
Hemant graduated from the Indian Institute of Technology, Delhi (1970) where he was nominated for the President’s Gold Medal for his all-round skills. He is an alumnus of the Advanced Management Program of the Harvard Business School (AMP115, 1994).  He is an avid golfer and supports select charities for disadvantaged children.
 

Anil Harish
Director
After graduating in Arts (Hons), Mr. Anil Harish did his L.L.B. and then went to USA to pursue L.L.M. There he was elected as the President of American Alumni Association. A former member of the Managing Committee of the Income-tax Appellate Tribunal Bar Association, Mr. Harish is a part of several committees of SILF (Society of Indian Law Firms). Mr. Harish is partner of M/s D.M.Harish & Co. Advocates. Mr. Harish has been Director of several Private and Public Companies and has written articles for various magazines. An authority on various topics related to real estate, taxation
and collaboration, he has addressed various seminars, at both national as well as international levels.

Sanjiv Kapoor
Director

A Commerce Graduate and F.C.A. Mr. Sanjiv Kapoor is the senior partner of M/s. S. K. Kapoor & Co., Chartered Accountants, one of the leading Chartered Accountancy firms. As partner of the firm has conducted audits of number of large Corporates such as R.B.I., L.I.C., N.T.P.C., Indian Oil, U.T.I., Banks etc.

Mr. Kapoor has been a Director of Mahindra & Mahindra Ltd., Ballarpur Industries Ltd., Indian Bank, Corporation Bank, U. P. Stock Exchange Association Ltd., UPSE Securities Ltd., Sahara Asset

Management Co. (P) Ltd. He was the president of Kanpur Chartered Accountants Society in the year 1988-89. He was also the Vice President of Upper India Chamber of Commerce.

At present Mr. Kapoor is a Director on the Board of Mahindra Lifespace Developers Limited, Mahindra World City Developers Limited & Sahara India Life Insurance Co. Ltd.


Shailesh Haribhakti
Director

Mr. Shailesh Haribhakti is the Managing Partner of Haribhakti & Co., Chartered Accountants and CEO of Haribhakti Group. He is the only Indian Member on the Standards Advisory Council of the International Accounting Standards Board. He is Chairman, Financial Planning Standards Board, India and serves on Financial Planning Standards Global Board. He is a Member of the ‘Takeover Panel’ constituted by SEBI, is a member of the SEBI Committee on Disclosures and Accounting Standards; and Convergence Committee of the Institute of Chartered Accountants of India (ICAI). He is on the Board of Directors of several listed companies.

Pawan Malhotra
Managing Director

The Board of Directors has appointed Mr. Pawan K. Malhotra as the Managing Director and CEO of Mahindra Lifespace Developers Limited. He has taken up the assignment in early June 2007.

Mr. Malhotra is a Management Post Graduate from the prestigious Faculty of Management Studies, Delhi. He brings with him over 30 years of rich experience in India and overseas.

Mr. Malhotra commenced his career with Dunlop and then joined Hindustan Lever, where he held several senior management positions.His next assignment was with the Fritolay division of Pepsico, India.

His overseas assignments include a stint with the Al Futtaim Group in Dubai and Oman National Dairy Products in Oman.  He was then instrumental in restructuring and reviving the National Rice Mills.  He is now the Advisor to the Minister for Sports Affairs in the Sultanate of Oman.
